Listing of shares on MOEX



On 18 February 2020, trading of EN+ GROUP IPJSC (the «Company») ordinary shares has been launched on Moscow stock exchange with trading ticker ENPG. Moscow stock exchange included ordinary shares of EN+ GROUP IPJSC into the "Level 1" part of the list of securities admitted to trading.

The Company and Moscow stock exchange have agreed that in two months following launch of trading of EN+ GROUP IPJSC ordinary shares the global depositary receipts («GDR») will be delisted from Moscow stock exchange. During the two months transition period, two equity instruments (GDRs and ordinary shares) will continue to be traded on Moscow stock exchange. Thus, 17 April 2020 is the last trading day for GDRs on Moscow stock exchange.

Citibank, N.A., as a depositary (the «Depositary») under the Company’s GDR program, has agreed to waive:

a) issuance fees in respect of any of the Company’s GDRs issued during the period starting from 00:01 (London time) on 25 February 2020 and ending at 23:59 (London time) on 24 April 2020; and

b) cancellation fees in respect of any GDRs cancelled during the period starting from 00:01 (London time) on 25 February 2020 and ending at 23:59 (London time) on 25 March 2020.

In order to be eligible for the relevant fee waiver, investors will be required:

a) in the case of a request for the issuance of GDRs, to deliver ordinary shares to the Depositary by no later than 23:59 (London time) on 24 April 2020; and

b) in the case of a request for the cancellation of GDRs, to deliver the relevant GDRs to the Depositary by no later than 23:59 (London time) on 25 March 2020.

  1. If you are an existing holder of the Company’s ordinary shares (ISIN: RU000A100K72) and would like to take preparatory steps to trade such ordinary shares on Moscow stock exchange following completion of the listing, please contact Joint Stock Company “Interregional Registration Center” at info@mrz.ru directly for documentation requirements and additional details.
  2. If you are an existing holder of the Company’s ordinary shares (ISIN: RU000A100K72) and would like to convert such ordinary shares into GDRs (subject to the maximum number of GDRs being 159,712,224 GDRs pursuant to Federal Law No. 290-FZ “On International Companies and International Funds” (as disclosed on 9 July 2019)), please refer to the information published by the Company on 29 July 2019, available here (in English and Russian): https://www.enplusgroup.com/upload/Information%20sheet%20GDR%20conversion.pdf.
  3. If you are an existing holder of the Company’s Regulation S GDRs (ISIN: US29355E2081) listed on the Moscow stock exchange and would like to continue trading such GDRs on the London Stock Exchange following their delisting from the Moscow stock exchange, please contact your broker for further advice on the appropriate action to take.
  4.
